TERMS OF SERVICE

Welcome to MUSICPUSH CONSULTANCY LLC (the "Company", "we", "us", or "our"). By accessing or using our services, you ("you", "user", or "client") agree to be bound by the following terms and conditions (the "Terms of Service" or "Agreement"). Please read these Terms of Service carefully before using our services.

1. Services

The Company provides music consultancy services, which may include music production, music licensing, music marketing, music promotion, artist management, and other related services (collectively, the "Services"). The scope and details of the Services will be agreed upon in writing between the Company and the client.

2. Compensation

The client shall pay the Company the agreed-upon fees for the Services as outlined in the written agreement between the parties. Payment terms, including any deposits, milestones, or installments, shall be specified in the written agreement. Failure to make timely payments may result in a delay or termination of the Services.

3. Intellectual Property

Any intellectual property created or developed by the Company in the course of providing the Services, including but not limited to music compositions, recordings, marketing materials, and promotional content, shall remain the property of the Company, unless otherwise agreed upon in writing. The client shall not use, reproduce, or distribute any intellectual property of the Company without obtaining prior written consent.

4. Client Responsibilities

The client shall provide the Company with accurate and complete information necessary for the provision of the Services. The client shall also comply with all applicable laws, regulations, and industry standards in relation to the Services. The client acknowledges that the success of the Services may depend on their active participation, feedback, and cooperation throughout the engagement.

5. Confidentiality

The Company and the client shall maintain the confidentiality of any proprietary or sensitive information disclosed during the provision of the Services, including but not limited to trade secrets, business plans, financial information, and creative concepts. Confidential information shall not be disclosed to third parties without obtaining prior written consent, except as required by law.

6. Termination

Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement. Upon termination, the client shall pay the Company for all Services rendered up to the termination date, and any outstanding fees or expenses incurred.

7. Disclaimer of Warranty

The Company makes no warranties or representations, express or implied, regarding the Services, including but not limited to the quality, accuracy, reliability, timeliness, or fitness for a particular purpose. The Services are provided "as is" and "as available", and the Company shall not be liable for any damages or losses arising from the use or inability to use the Services.

8. Limitation of Liability

To the extent permitted by applicable law, the Company's liability to the client or any third party for any claim arising out of or in connection with this Agreement or the Services shall be limited to the amount paid by the client to the Company for the specific Services giving rise to the claim. In no event shall the Company be liable for any indirect, consequential, incidental, punitive, or special damages.

9. Indemnification

The client agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with the client's use of the Services, breach of this Agreement, or violation of any applicable laws or regulations.

10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of The State of New Jersey. Any dispute arising out of or in connection with this Agreement shall be resolved to the exclusion of any other courts. Both parties hereby submit to the personal jurisdiction of the courts of The State of New Jersey.

9. Entire Agreement

This Agreement constitutes the entire understanding between the Company and the client with respect to the subject matter herein and supersedes all prior agreements, representations, and understandings, whether written or oral. Any modifications to this Agreement must be in writing and signed by both parties.

10. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

11. Waiver

The failure of either party to enforce any provision of this Agreement shall not be deemed as a waiver of that provision or any other provision. Waiver of any breach of this Agreement shall not constitute a waiver of any subsequent breach.

12. Assignment

This Agreement may not be assigned or transferred by either party without obtaining prior written consent from the other party, except for assignments to a successor in interest or in connection with a merger or acquisition of the Company.
